Yes you are correct except that it needs to be 98 or ME. What Fishinginar means is that this is not a full version and you must own a "legal" version of 98 or ME for the machine you are going to install it on.

Its not eligible but i have used windows 3.1 floppies to get the upgrade to do a clean install. It doesn't say it, but it works!

The YES in the matrix means the particular OS (e.g., Win98) can be "upgraded in-place (keeping your existing settings, programs, and data)." I think the upgrade license agreement allows you to upgrade from any previous Windows version (except for server versions as stated in the footnote). Can anyone find a copy of the agreement online?

Do I understand right that all you need is the Windows ME/98 CD and you can do a clean install of XP home? OR, do I need to install ME/98 first, and then do the upgrade?

The upgrade matrix for XP Home (link) does not have the extra wording on the XP Pro page. It seems NO means not eligible when you look at the paragraph below "Order the Full Version of Windows XP from Your Favorite Retailer" link; although it is doable as many have pointed out.

As far as I can tell, the link you provided only discusses which computers can be "upgraded in place". That is to say, keeping your existing settings, programs, and data. You may be able to use the upgrade program to clean install windows xp with more than just 98 or ME. Try google for some advice on this.




Also, it's my understanding that you CAN do a fresh install with this disc. At some point, it will ask you to insert the OS disc that you are upgrading from for some kind of validation.

This upgrade adds nothing to your existing xp installation.

Is there any reason why we would doubt the validity of the rebate since it isn't hosted on OD's site and since they don't point to it (yet) like the 100GB Maxtor hard drive deal yesterday?

Last time I installed an upgrade (two days ago) on a clean computer it did nothing different than a full install, no asking for a previous disc.
