Internally I cannot tell you if the 370/390 are the same sans Wi-Fi but I can tell you that I just got the 390 and I am very happy with it.

I believe in a review that I read somewhere that the 390 has different hardware in it since they thought image quality and some of the DVD tests were better on the 390 then the 370 but I cannot be 100% certain of that.

The 370 is probably a great bargain at $130 especially if you get another 10% off.

The achille's heel of both the 370 & 390 is going to be the upconversion of regular DVDs. While it is quite good according to reviewers it is not the "best". The Oppo player is the best across the board in all aspects but does not have Wi-Fi, Netflix, or streaming ability etc. I believe the Opp is under $200 as well

The BD390 has many features that the BD370 does not, off the top of my head:
Plays video files from USB devices
Plays media over the network
VUDU
Picture controls
Multi-channel analog sound output (BD370 has stereo only)
Wireless network connection (BD370 has wired only)

I own a BD370 and it is OK for BluRays, DVDs, and Netflix. It does still have some bugs which I expect will never be fixed, most annoyingly some aspect ratio issues on certain Netflix titles. I think I'd be much happier with it had I paid $129 instead of $250... The front display is incredibly cheap looking and useless. The on-screen display is incredibly annoying at times and it can't be shut off.

I have BD370. I can confirm that BD370 does not play DIVX format.
LG has disabled this function in US version.
I heard that BD390 can play DIVX along with other format off of USB.

Well crap, I just ordered Amazon's deal last night for a Christmas gift. Wasn't fond of the movie selection, but what the heck. Do you guys suppose Amazon will match the BB price even though they are giving me the 3 movies? I think I'm gonna try.

Many Blu-Ray discs (perhaps even most) are authored with HD surround audio, but no corresponding standard Dolby Digital or DTS surround track. So you would be stuck with 2-channel/stereo output from the BD370 unless you have a fancy receiver that decodes HD surround audio.

The BD390 internally decodes the HD audio and you would get a version of that via TOSLINK in 5.1/6.1/7.1 (or via analog audio cables, which still would transfer the HD audio quite nicely).

Actually, All BDs have to have either a DD, DTS, or PCM track for playback. Both TrueHD and DTS-HD(MA) are optional audio tracks.

DTS-HD tracks include a DTS "Core" track embedded within them, so a BD could have "only" a DTS-HD track and still be backwards-compatible. BDs with TrueHD need a separate DD, DTS, or PCM track on the disc as well, although there's no requirement the secondary track be surround.
