I agree that this is reasonable good deal but I dont see why AM3 and/or DDR3 ram is needed for HTPC. I have neither and things are dandy. In fact you want HTPC to be less power consuptive than what this CPU offers. I have 5050e consuming 45w and cpu rarely goes over 10%. In my view, this is an overkill for HTPC. You can save money and get a differnt combo like this: here for substantially less and it will do it nicely for HTPC.

the 955 went down to $150 combo price, saving you another $5 on the bundle price.
